1. Introduction and acceptance
These Terms of Service ("Terms") govern your access to and use of the LegitNexus website and the LegitNexus Law Practice Management System ("LPMS" or the "Service"), a secure, cloud-based legal practice management platform provided by LNX Technologies Company Ltd ("LegitNexus", "we", "us" or "our").
By accessing the website, creating an account, or using the Service, you agree to be bound by these Terms. If you do not agree, you should not use the Service.
2. The Service
LPMS is licensed on a subscription basis to help law firms and legal practitioners manage cases and matters, clients, documents, calendars, billing, tasks, staff, and related workflows in a single platform. The Service is provided as software (Software-as-a-Service) and is licensed, not sold.
LegitNexus provides software and related technology services only. We do not provide legal advice, do not act as a law firm, and do not guarantee legal outcomes.
3. Licence and permitted use
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use LPMS solely for your internal legal practice operations during your subscription term.
Access is restricted to authorized users designated by your firm. Each authorized user must use valid credentials issued for them, and you are responsible for all activity carried out through your accounts.
4. Restrictions
Unless expressly authorized by us in writing, you shall not:
- Sell, lease, rent, sublicense, distribute, or commercially exploit the Service.
- Copy, reverse engineer, decompile, disassemble, or attempt to derive the source code of LPMS.
- Modify, adapt, or create derivative works based on LPMS.
- Remove or alter any copyright, trademark, or proprietary notices.
- Permit unauthorized third parties to access the Service, or share login credentials.
- Upload viruses, ransomware, or other malicious code, or interfere with the security or integrity of the Service.
- Attempt to bypass security measures, or conduct penetration or vulnerability testing without prior written authorization.
- Use automated bots, crawlers, or scrapers to extract data from the Service.
- Access modules or features for which you have not subscribed.
- Use the Service for any unlawful, fraudulent, or deceptive purpose.
5. Accounts, users, and security
You are responsible for:
- Providing accurate, complete, and current information.
- Ensuring only authorized users access the Service and are properly supervised.
- Keeping login credentials confidential and using strong passwords.
- Maintaining adequate internet connectivity and compatible devices.
- Promptly notifying us of any unauthorized access or suspected security breach.
We may disable any account that we reasonably suspect of misuse, compromise, or unauthorized activity.
6. Fees, payment, and renewal
- Subscription and onboarding fees are set out in your quotation or applicable pricing schedule and are payable in Uganda Shillings (UGX) unless otherwise agreed.
- Fees are payable in full without set-off or deduction, except as required by law.
- Subscriptions renew at the end of each billing cycle upon payment of the applicable fees, unless you provide written notice not to renew.
- We may review and adjust subscription fees with reasonable prior notice. Continued use after notice constitutes acceptance of the revised fees.
- All fees are exclusive of applicable taxes (including VAT and withholding tax), which are your responsibility.
- Except where required by mandatory law, all fees are non-refundable.
7. Suspension for non-payment or breach
We may suspend or restrict access to the Service, in whole or in part, where payment is overdue, where you breach these Terms, where a security risk is identified, or where required maintenance is necessary. Suspension does not relieve you of accrued payment obligations. Access is restored once the underlying issue is resolved to our reasonable satisfaction.
8. Intellectual property
All intellectual property rights in LPMS, including the software, source code, databases, user interface, workflows, designs, and documentation, are and remain the exclusive property of LNX Technologies Company Ltd. Nothing in these Terms transfers ownership of any such rights to you.
"LegitNexus" and related branding and logos are our trademarks and may not be used without our prior written consent. Any feedback or improvement suggestions you provide may be used by us freely and become our property.
9. Your data
All data your firm uploads into LPMS ("Client Data") remains your property. You grant us a limited licence to host, store, process, transmit, and display Client Data solely to provide the Service. You are responsible for the accuracy and legality of Client Data and for obtaining any consents required to process it. Our handling of personal data is described in our Privacy Policy.
10. Service availability and support
We use commercially reasonable efforts to make LPMS available, with an uptime target of 99% per calendar month, excluding scheduled and emergency maintenance, internet or power outages, cloud provider outages, and force majeure events. This uptime target is a service objective and not a guarantee.
Standard technical support is available Monday to Friday, 8:00 a.m. to 5:00 p.m. East Africa Time, excluding public holidays in Uganda, through the channels communicated during onboarding. Support priorities and response targets are set out in the applicable Service Level Agreement.
11. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill, care, and diligence. Except as expressly stated, the Service is provided on an "as is" and "as available" basis, and we do not warrant that it will be uninterrupted or error-free or that it will meet every requirement.
LPMS is a software tool and does not provide legal advice. We are not responsible for legal strategies, court filings, or professional decisions made by users of the Service.
12. Limitation of liability
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, business, goodwill, or data caused by your use or misuse of the Service. Our total aggregate liability under these Terms shall not exceed the total subscription fees paid in the three (3) months preceding the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold harmless LNX Technologies Company Ltd, its directors, employees, and agents against any claims, losses, damages, or expenses arising from your misuse of the Service, your breach of these Terms, your violation of applicable laws, or any unlawful use of Client Data.
14. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including power or internet outages, cloud provider outages, natural disasters, civil unrest, government action, or cyberattacks.
15. Termination
We may suspend or terminate the Service where you materially breach these Terms, fail to pay fees when due, use the Service unlawfully, or compromise its security. Either party may terminate a subscription on thirty (30) days' written notice. On termination, your right to access the Service ceases, and you may request export of your Client Data within a reasonable period, subject to any applicable data export fees.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Uganda. Any dispute shall first be addressed through good-faith negotiation, then mediation in Uganda, and, failing resolution, referred to the competent courts of Uganda.
17. Changes to these Terms
We may update these Terms from time to time to reflect changes in the Service, the law, or our operations. Material changes will be communicated where reasonably practicable, and continued use of the Service after changes take effect constitutes acceptance.
